Terms for Guest Article Authors
Preamble:
This agreement is intended to establish a partnership between the blog operator and the guest author based on mutual benefit and value creation. The collaboration aims to provide readers with high-quality, informative, and valuable content. In addition, both parties aim to expand their respective target audiences through shared added value.
Contracting Parties
Blog operator:
Brain-Friendly.de, represented by vWave eCommerce GmbH, CH-6300 Zug, Switzerland, or its legal successors.
Guest author:
The entry in the application form defines the guest author's information and is binding upon submission of the form.
Copyright:
The guest author transfers to the blog operator the non-exclusive usage rights of the submitted article for an indefinite period. The guest author assures that they have created the article themselves, hold the copyrights to it, and thus have the right to grant usage rights. The guest author declares not to use any copyrighted works of third parties unless they have explicit permission. The guest author is liable for this assurance. The blog operator undertakes to mention the guest author in the published article.
Usage Rights:
The transferred usage rights are valid for an indefinite period. They can be reviewed after one year and deleted or changed by mutual agreement if necessary.
Termination Right:
Both parties have the right to terminate the collaboration with a notice period of 14 days in writing. In such a case, transferred usage rights to the published articles cannot be reversed. The blog operator reserves the right to continue using or deleting already published articles.
Right to Remove the Article:
The blog operator reserves the right to remove a guest post at any time and without prior notice if the content is deemed unethical, illegal, or potentially harmful or if it provokes or seems to provoke attacks from outside (e.g., legal challenges, negative PR).
Exclusivity:
Unless otherwise agreed, the guest author may publish the article on other platforms but must inform the blog operator and link back to the original post on the blog. In this case, the guest author must notify the blog operator by email before publication.
Disclaimer of Liability:
The guest author is solely responsible for the article's content and indemnifies the blog operator from any claims by third parties that may arise from its publication.
Linking Policy:
The blog operator reserves the right to set all submitted links as dofollow or nofollow, at their discretion and following the blog's SEO guidelines. Guest authors may include links that are relevant and informative to the reader. Advertising or affiliate links must be approved before the article is submitted.
Validity of the Offer:
By filling out and submitting the application form, the guest author agrees to submit the agreed-upon article within 4 weeks of confirmation by the blog operator. If the article is not submitted within this period, the blog operator reserves the right to consider the offer for a guest authorship as invalid and to withdraw from the agreement.
Mutual Rights and Obligations:
The blog operator undertakes to professionally review and, if necessary, optimize the submitted article for SEO. The guest author undertakes to write articles that provide added value to the readers. The guest author is free to choose the content, structure, and presentation format and is not subject to any editorial guidelines of the blog operator, provided that the article meets the general quality and ethical standards of the blog.
Approval Process:
Approval for article publication is given by the blog operator's confirmation email, which announces the publication date. The blog operator reserves the right to schedule the article's publication in the editorial plan up to 4 months in advance.
Date of Publication or Last Revision:
The date of the last publication or revision of the article is made visible in the article itself and/or in the article overview. The blog operator reserves the right to update articles to ensure quality and relevance for readers.
Data Protection:
The personal data of the guest author will be processed following the General Data Protection Regulation (GDPR) and other applicable data protection laws. For more information, please refer to our privacy policy.
Confidentiality:
Both parties undertake to maintain confidentiality of all business and operational information exchanged under this agreement. All information marked as confidential or whose confidentiality level is obvious from the disclosure circumstances shall be deemed confidential. The obligation of confidentiality shall remain in force for a period of 1 year after termination of the collaboration.
Changes to this Terms:
The blog operator reserves the right to change these Terms at any time. Changes will be communicated to the guest author in writing and will take effect 14 days after notification unless the guest author objects.
Applicable Law and Jurisdiction:
This agreement is subject to the law of Switzerland. The place of jurisdiction for all disputes arising from this agreement is Zug, Switzerland.
Final Clause: Severability Clause
If individual provisions of this agreement are or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, an effective and enforceable provision shall be deemed to have been agreed upon that comes as close as possible to the purpose and intent of the provision to be replaced.
