Terms for Affiliate-Partners:

Scope and Purpose:
These Terms apply to all contracts between vWave eCommerce GmbH and the affiliate partner.
The purpose of these Terms is to mediate the company's products through the affiliate partner, who receives a commission for successful referrals.

Definitions:
"Products" refers to the subscriptions and lifetime language courses offered by the company, which have been released for distribution in the online affiliate system.
"Affiliate partner" refers to a person who has successfully signed up for the affiliate program.

Registration and Conclusion of Contract:
Registration for the affiliate program is done by filling out and submitting the online registration form. Acceptance is confirmed by a confirmation email from the company.

Commissions:
The affiliate partner receives a commission of 25% for every successful sale of a product or ongoing subscription.
The commission is calculated from the net revenue, i.e. minus any sales promotions, discounts, or other benefits for the customer, and before any VAT taxes.
Commissions can be changed by the company at any time and apply from the date of publication for all newly referred customers. Existing customer commissions remain unaffected.

Commission Claim:
The commission claim arises 2 weeks after the end of a calendar quarter and includes only commissions from referrals made through the affiliate links provided by the company.

Cookie Duration:
The company uses 30-day cookies to ensure that affiliate partners are compensated for their referrals.

Benefits and Discounts.
Affiliate partners are entitled to free access to premium and classic courses for one month, as well as a 35% personal discount on the respective course if no referral is made within this month.

Obligations of the Affiliate Partner:
The affiliate partner undertakes to advertise the company's brand and products appropriately and lawfully.

Liability and Warranty:
The company is not liable for lost profits, data loss, or other damages that may arise from the affiliate partner's participation in the program.

Duration and Validity:
The affiliate agreement is concluded for an indefinite period. It can be terminated by both parties on a monthly basis. In the event of termination, the affiliate is entitled to full 3 months of existing customer payments. Newly referred customers will no longer be commissioned from the date of termination.

Liability:
The affiliate partner is liable for their publications and is responsible for the timeliness of their website(s).
The company is not liable for potential affiliate earnings, and the affiliate cannot pledge them.

Payments:
Payments are possible within 30 days after the end of a month. This period serves to allow for customer objections, refund requests, etc. Such reductions are also deducted from the affiliate commission. The commission claim is then calculated accordingly.

Payments of the commission claim are made within 2 weeks after the end of a calendar quarter. If the commission claim is less than EUR 100, no payment will be made, and the actual commission claim will be "saved" until the next payment date. Monthly payments are made within 2 weeks after the end of a calendar month if the commission claim is over EUR 2000.

Changes to this Terms:
The company reserves the right to change these Terms at any time.

Applicable Law and Jurisdiction:
This agreement is subject to the law of Switzerland. The place of jurisdiction for all disputes arising from this agreement is Zug, Switzerland.

Final Clause: Severability Clause:
By clicking the "accept" button on the registration form, the affiliate partner agrees to these terms and conditions.

If individual provisions of this agreement are or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, an effective and enforceable provision shall be deemed to have been agreed upon that comes as close as possible to the purpose and intent of the provision to be replaced.
